IFM Investors increases Atlas Arteria takeover stake

IFM Investors has increased its holding in toll road operator Atlas Arteria (ASX:ALX) to 38.26% as it continues its $7.40 billion hostile takeover attempt.

A substantial holder notice revealed the bidder and related entities lifted their control from 34.48% to 555.3 million securities after increasing the offer price to $5.10 per share.

The target company has repeatedly told investors to reject the cash proposal, stating that the transaction materially undervalues the business and fails to offer an appropriate premium for control.

The board noted that an independent expert valued the company between $5.39 and $6.20 per security, indicating the current offer sits roughly 12% below the $5.79 valuation midpoint.

Following the announcement, the Atlas Arteria share price was up 0.6% at $5.11.

The bidding consortium stated that the $5.10 price represents a 17.8% premium over the pre-offer trading levels and values the Chicago Skyway asset in line with historical purchase prices.

The targeted infrastructure group manages international transport assets and argued that the suitor has historically raised initial bids for major airport and infrastructure targets before finalising deals.
