
Atkore accepts Prysmian’s $3.8 billion cash offer

Atkore (NYSE:ATKR) agreed to a $3.8 billion all-cash takeover by Prysmian, giving shareholders $95 per share.
The offer is 30% above Atkore’s July 31 close of $72.96 and 57% above its pre-review September 2025 close of $60.69.
Both boards approved the deal, targeted for year-end 2026 after required approvals, while Prysmian said funding will combine debt, hybrid bonds and equity.
Following the announcement, Atkore's share price was up 25.3% at $91.40 in premarket trading.
Atkore began its strategic review in September 2025, then sold its Tectron tubing and HDPE businesses to concentrate on electrical infrastructure.
Prysmian previously acquired Encore Wire in July 2024 and Channell in June 2025 to expand its North American electrical and digital offerings.
