Tempus AI buys Personalis for $1.5 billion

Tempus AI (NASDAQ:TEM) agreed to acquire Personalis (NASDAQ:PSNL) for $1.5 billion, adding cancer-monitoring technology to its oncology platform.

The $16.25-per-share offer represents a 6% premium to Friday’s close and a 28% premium to the unaffected 30-day average.

“MRD is a large and rapidly growing market with the potential to truly transform how cancer patients are monitored,” said Tempus AI Chief Executive Officer Eric Lefkofsky.

The stock-based deal allows Tempus to pay up to 50% in cash and is expected to close in late 2026 or early 2027.

Personalis’ NeXT Personal test detects circulating tumour DNA for cancer monitoring and currently has Medicare coverage across three indications.

The companies began working together in November 2023, while Personalis reported preliminary Q2 revenue of $22.4 million and 10,384 clinical tests.
